Affiliate Program Agreement

Changes and Updates

1. otoHost may announce such changes via this page.
2. Your continued use of this site or the Program after changes means you accept the most recent Agreement.

Program Participation Terms

1. Application: To become an affiliate, you must complete your application through the otoHost Affiliate Program application form and approve the Agreement. Admission to the Program is entirely at otoHost’s discretion.
2. Age Limit: You must be at least 18 years old and legally competent to enter into contracts to participate in the Program.
3. Non-Exclusivity: This agreement is non-exclusive, meaning both otoHost and the Affiliate may enter similar collaborations with other parties.

Affiliate Responsibilities

1. Promotion: You are responsible for honestly and effectively promoting otoHost products and services with the promotional materials, banners, and links provided by otoHost.
2. Compliance: Your promotions must comply with all national and international laws and regulations, especially regarding privacy, spam, and consumer protection rules.
3. Ethical Marketing: You may not make misleading, fraudulent, or exaggerated statements about otoHost or its products, nor participate in activities that could harm the brand’s reputation.
4. Your Content: You are responsible for the content on your own website and all platforms where you promote. No illegal, offensive, obscene, or reputationally damaging content to otoHost may be hosted.
5. Disclosure: The affiliate relationship with otoHost and any compensation per referral must be transparently disclosed to users. Relevant regulations and official guidelines must be followed.
6. Prohibited Activities: It is forbidden to send spam, run keyword ads using otoHost’s brand, employ unethical SEO or link-building techniques.
7. Customer Support: The Affiliate is not obliged to provide direct support to customers unless otherwise agreed in writing.
8. Program Rules Compliance: You must comply with any additional rules and policies notified by otoHost. Non-compliance will result in removal from the program.
9. Communication and Reporting: You must provide accurate and up-to-date reporting and respond to communications in a timely manner upon otoHost’s request regarding your activities.
10. Indemnity: You are required to indemnify otoHost in the event you act contrary to the law, this Agreement, or third-party rights.
11. Affiliates should act in good faith and refer real, valid users. Self-purchases or fraudulent traffic will result in immediate removal.
12. Self-referral, placing orders with your own link via VPN, or unauthorized, modified use of otoHost’s copyrighted content is prohibited.
13. otoHost images, banners, icons, or other materials may not be altered or copied without permission.

Promotional Materials

Only promotional content provided and approved by otoHost may be used. These materials may only be used to drive traffic to otoHost; the license is non-exclusive and expires upon the termination of the Agreement.

otoHost reserves the right to solely evaluate the appropriateness of any promotional method and may suspend or terminate membership if needed. Any harsh, disrespectful, or aggressive conduct in communication with the affiliate manager will not be tolerated and will result in permanent removal from the program.

Tracking Cookies and Referrals

Cookies are used for referrals. When a user accesses otoHost via your unique link, a cookie is assigned and will remain valid for 90 days. otoHost is not responsible if the user deletes the cookie.

Commission and Payment Terms

1. Commission Rates: According to the current Program terms, the affiliate receives a one-time commission of 60% of the sale amount for each successful sale (e.g., for a $100 annual service, $60 is earned).
2. Qualified Referral: You earn commissions for every new user signup who completes a paid purchase through your unique link.
3. Refunds and Disputes: If a referred customer receives a refund or withdraws the transaction, the corresponding commission will be deducted from your earnings.
4. Tax Responsibility: You are solely responsible for reporting and paying taxes on your earnings as per the applicable laws.

Billing

Commission notifications will be sent to your chosen email address. Payments are made between the 10th and 15th of each month. The minimum payout threshold is $100. For payments exceeding $5,000, a maximum of 40% of the total is paid at once; the remaining amount will be transferred the following month.

Intellectual Property Rights

1. No visual, logo, brand, or content provided by otoHost may be altered or transferred to third parties without permission.
2. The otoHost brand and all trademarks may only be used by affiliates with written permission, and all rights remain with otoHost.

Termination of the Agreement

1. Either party may terminate the affiliate program at any time by giving 14 days’ notice and without providing a reason.
2. Upon termination, rights earned but not withdrawn under the affiliate program will be paid, provided they comply with the Agreement and minimum payment requirements. All other rights expire.
3. When the Affiliate relationship ends, all promotional materials must be removed from your website and social media as soon as possible.
4. If any activity is found to be against Program rules or the law, otoHost may unilaterally terminate your affiliate status and cancel pending payments.
5. For 3 months after termination, you may not directly market to otoHost customers or refer them to competing services.

Confidentiality

1. Confidential information disclosed between both parties may only be used for the purpose of this agreement, may not be shared with third parties, and must be protected for 5 years after termination.
2. Except in mandatory circumstances (e.g., legal regulation, court order), confidential information will not be shared.
3. If there is a breach of the confidentiality obligation, the affected party may claim material and moral damages.

Limitation of Liability

1. otoHost provides the Program "as is". No specific results, earnings expectations, or uninterrupted service guarantees are made. Unless expressly stated, otoHost cannot be held responsible for any direct or indirect damages.

General Provisions

1. This Agreement is subject to the laws of the United States and where otoHost is headquartered. In case of any disputes, the courts where otoHost is located have jurisdiction.
2. otoHost reserves the right to amend this Agreement. Changes will be sent to the email address you specified during registration. Continuation in the Program means you accept these changes.
3. If any clause is found invalid, the other clauses will remain in force.
